<p>According to Maurice Ross, a partner at the firm of Barton, Barton &amp; Plotkin LLP, &#8220;One of the most important issues that companies face is the disconnect between stock prices and the value of their intellectual property.&#8221;</p>
<p>In this exclusive LegalMindsTV interview, filmed at the NASDAQ MarketSite, Ross discusses how significant changes in the regulatory environment will continue to have an impact on intellectual property rights and the role that will play on stock prices, directors liability, M&amp;A activity and litigation costs.</p>
<p>&#8220;Companies need to look at this from both an offensive and defensive point of view,&#8221; explains Ross.  &#8220;From a defensive point of view, there are often competitors who have acquired or may acquire in the near future intellectual property rights that can actually put a company out of business, depress a company’s profits or interfere with its ability to market a product or service.&#8221;</p>
<p><img class="alignright" style="margin: 8px 10px;" title="NASDAQLogoSM2" src="http://legalminds.tv/wp271/wp-content/uploads/2010/12/NASDAQLogoSM21.jpg" alt="" width="214" height="89" /></a>&#8220;On the offensive side, the issue is whether the company is doing a sufficient job to obtain, procure and enforce its own intellectual property rights.  Additionally, does the company have a realistic understanding of the value of the patents, trademarks and other intellectual property rights that are owned.&#8221;</p>
<p>Ross explains that one of the challenges that companies face in analyzing the value of their intellectual property is the changing landscape in terms of the legal standards that are applied to analyzing patents.  Most notably, decisions such as <a id="aptureLink_GctCZSGaO4" href="http://en.wikipedia.org/wiki/KSR%20v.%20Teleflex">KSR</a>, in which the Supreme Court effectively made it much easier to prove the patents are obvious, and <a id="aptureLink_qRrMtHuudN" href="http://en.wikipedia.org/wiki/In%20re%20Bilski">Bilski</a>, which made it more difficult to obtain business method patents and adopted a standard that would make it very difficult in the future to know whether your business method patent is really valid or not.</p>
<p><a href="javascript:collapseExpand('3124')">CONTINUE READING SUMMARY (Click to Expand/Collapse)</a><div id="3124" style="display:none;"> In this interview, Ross also discusses other legal issues which can have an impact on the a company&#8217;s IP portfolio, such as charges of &#8220;<a id="aptureLink_dyMQfPMAAW" href="http://en.wikipedia.org/wiki/Inequitable%20conduct">inequitable conduct</a>&#8221; and recent opinions on &#8220;<a id="aptureLink_QwieYj6yof" href="http://en.wikipedia.org/wiki/Inducement%20rule">inducement of infringement.</a>&#8220;</p>

<p>Additional legal challenges include statutes allowing whistleblowers to report executives for failing to conduct due diligence or failing to disclose the truth about the value of the company&#8217;s intellectual property rights. Ross recommends that appropriate due diligence be conducted in connection with financial reporting on the value of intellectual properties, noting that this becomes particularly important today as we see more and more mergers and acquisitions between large companies and smaller companies that can contribute to the pipeline of new products for larger companies, particularly in biotech.</p>
<p>Another growing distraction as companies try and get a control internally on IP issues is the problem of &#8220;patent trolls,&#8221; which has become a topic of controversy within the intellectual property world.  Though one thing everyone seems to agree on is their effect on litigation costs.  According to Ross, the average cost of patent litigations, from beginning to end, is between $4 million to $10 million per case.  So in in addition to managing your IP portfolio, is also important at the same time for companies to &#8220;find mechanisms for truly controlling the structural costs, not just cosmetic approaches.&#8221; </div></p>

<p>For nearly three decades, Mr. Ross has represented corporate and individual clients in numerous high profile, sophisticated intellectual property and commercial litigations. In recent years, Mr. Ross has served as lead trial and appellate counsel in high-stakes patent and intellectual property litigation involving major pharmaceutical and biotechnology companies. <p>Counterfeit consumer products were once limited mostly to luxury fashion and jewelry brands, but now companies are finding the threat reaching broadly across all product categories and levels of commerce &#8212; from upscale merchants to the local 99¢ store, and even the pharmacy shelves.</p>
<p>Current estimates are that 7-10% of global trade is derived from counterfeit products, with an annual cost of almost $492 billion to the global economy.  Within the U.S., government agencies made almost 15,000 seizures of counterfeit and pirated goods in 2009, with a domestic value of $260 million.</p>
<p>In this exclusive LegalMindsTV interview, <strong><a id="aptureLink_qK1hsKSXWQ" href="http://www.duanemorris.com/attorneys/gregorypgulia.html">Greg Gulia</a></strong>, a partner in the New York office of <strong><a id="aptureLink_TeJ5eoMxGR" href="http://www.duanemorris.com/">Duane Morris LLP</a></strong>, discusses the factors contributing to the sudden increase in counterfeit and gray market goods, what companies can do to protect their brands from trademark infringement and why it&#8217;s essential to take action.</p>
<p><a href="javascript:collapseExpand('5741')">CONTINUE READING SUMMARY (Click to Expand/Collapse)</a><div id="5741" style="display:none;"> According to Guilia, the risks are more than just financial.   &#8220;If you allow third parties to use your brand,&#8221; says Gulia,  it loses it&#8217;s ability to indicate a single source of goods or services and therefore the brands can be weakened or destroyed.&#8221;  Gulia also points to the health and safety risks involved, as &#8220;many of these counterfeit products are not FDA approved and they haven’t gone through the rigorous testing such as what a legitimate consumer products company would do.&#8221;</p>
<p><span> </span></p>
<p>Guilia believes that in addition to actions taken by the brand owners to protect their trademarks, some factors that will help turn the trend around are stricter enforcement as well as an increase in penalties, such as those assessed under the recently passed <a id="aptureLink_HACfKLyHK3" href="http://thomas.loc.gov/home/gpoxmlc110/h4279_ih.xml">PRO-IP Act</a>, which can help serve as a deterrent by increasing the maximum statutory damages for counterfeit goods to up to $2 million.</p>
<p>But as these enforcement methods are put in place to stem the growth of counterfeit goods, Gulia points to other trademark issues that are emerging as a result of the growth of the internet and social media.  For example, celebrities are becoming brands on Twitter, competitors are buying and bidding up the costs of brand name keywords on Google, cybersquatters are grabbing domain names that include the marks of established brands and parodies are challenging the issues of fair use and the years invested in building brand equity. </div><strong> </strong></p>

<p><a href="javascript:collapseExpand('9765')">CONTINUE READING SUMMARY (Click to Expand/Collapse)</a><div id="9765" style="display:none;"> While the original models for outsourcing were focused on Information Technology, &#8220;the trend now is towards Business Process Outsourcing, or &#8216;BPO,&#8217; says Raysman, &#8220;which includes back-office processes like finance and accounting, tax, benefits and human resources.&#8221; He adds, &#8220;the benefit is not only reducing the costs of providing these services, but in allowing companies to focus on the companies&#8217; performance in their core competencies.&#8221;</p>

<p></span>However, many factors have caused a recent decline in outsourcing.  In this interview with LegalMindsTV, Raysman discusses the impact that legal and regulatory issues have had on outsourcing, as well as key business consideration such as managing the risks involved and protection of a company&#8217;s intellectual property.</p>
<p>Raysman points out that as companies increase outsourcing, they&#8217;ve also increased their risks &#8212; from the financial risks involved in loss of data or violations of customer privacy to protecting any competitive advantage in their processes or intellectual property.</p>
<p>“There&#8217;s a very high risk in outsourcing” says Raysman.  &#8220;It&#8217;s not necessarily a panacea that cures all ills.” </div></p>
